KEY CONTRIBUTIONS

  • Perform complex paralegal duties requiring knowledge of legal terminology and legal processes from matter inception to completion.
  • Draft and file corporate formation, registration, amendment, and dissolution documents, including operating agreements, Bylaws, minutes, EIN applications, and other similar applications and documents.
  • Prepare closing documents, transaction checklists, closing binders, and settlement documents.
  • Conduct due diligence, legal research, UCC, lien and litigation searches, Secretary of State searches and other relevant research and searches.
  • Prepare organizational charts, corporate information summaries, reports, correspondence and other similar documents.
  • Develop and maintain electronic databases and virtual data rooms for due diligence and corporate documentation.
  • Maintain and manage calendars for applicable transaction, annual report, and annual meeting dates and deadlines.
  • Communicate with vendors, clients, attorneys and other parties as needed.
  • Other responsibilities as needed.

THE ESSENTIALS

  • A bachelor’s degree, paralegal degree or certification, and/or an equivalent combination of education and experience.
  • Two or more years of corporate or transactional experience required.
  • Proficiency with Microsoft Word
  • Highly organized, detail-orientated, proactive with a desire to take ownership as a contributing member of the team.
  • Balance competing priorities and work effectively in a fast-paced environment, exercising patience and professionalism during stressful situations.
  • Strong communication and drafting skills.
  • Some overtime may be required
