Job Summary: We are seeking a highly skilled Corporate Transactional Attorney to join our corporate practice either full or part-time. The ideal candidate will have a strong background in handling corporate transactions, including due diligence, drafting agreements, and advising clients on regulatory matters. This position requires excellent negotiation skills, a deep understanding of corporate law, and the ability to manage complex, high-stakes transactions efficiently.

Key Responsibilities:
  • Lead and manage all legal aspects of M&A transactions, including mergers, acquisitions, joint ventures, and other business combinations.
  • Draft, review, and negotiate key transaction documents, including purchase agreements, letters of intent, confidentiality agreements, and shareholder agreements.
  • Provide strategic legal advice to clients on deal structures, corporate governance, regulatory compliance, and risk mitigation.
  • Collaborate with cross-functional teams, including financial advisors, accountants, and other attorneys, to ensure seamless transaction execution.
  • Ensure compliance with federal and state laws and industry-specific regulations, as applicable.
  • Advise clients on risks and regulatory compliance in business transactions and develop strategies for risk-mitigation.
  • Assess legal rights and legal risk of various company structures, and make recommendations for corporation, joint venture, limited partnership, and limited liability companies.
  • Evaluate current and new projects, partnerships, mergers and acquisitions for potential legal issues.
  • Give legal advice to clients on corporate governance, policies, procedures, intellectual property, employment, operations, and regulatory issues, and guide them towards best practices in corporate law regulation compliance.
  • Draft, review, and modify contracts, processes and procedures, policies, and other legal documents as required.
  • Negotiate on clients’ behalf to create, modify, and execute transactions.
  • Provide legal counsel during legal proceedings, administrative board reviews, and litigations when necessary.
  • Draft, negotiate, and advise stakeholders with respect to commercial contracts with clients and third-party service providers.
  • Manage and prioritize multiple concurrent projects.
  • Participate in various activities related to corporate governance, regulatory compliance, and third-party risk management.
  • Assist in building and maintaining strong client relationships, actively contributing to business development efforts within the firm.
Qualifications:
  • Education: Juris Doctor (J.D.).
  • Bar Admission: Must be licensed to practice law in Georgia; additional state bar admissions are a plus.
  • Experience: 5 years of experience in corporate transactions or related areas
  • Expertise: Strong knowledge of corporate law, securities law, and M&A transactions, including deal structures, regulatory issues, and corporate governance.
  • Skills: Excellent drafting, negotiation, and communication skills; strong attention to detail; and the ability to manage multiple transactions simultaneously.
  • Analytical Ability: Demonstrated ability to analyze complex legal issues, identify risks, and provide clear, concise advice to clients.
  • Client-Focused: Strong client management skills, with the ability to build relationships and inspire trust in a fast-paced environment.
  • Tech Proficiency: Proficiency in Microsoft Office, legal research tools, and document management software, MyCase and Soluno preferred.
