This position may be filled remotely or in any of our office locations. 


SCOPE OF RESPONSIBILITIES:


Provide assistance to attorneys and senior paralegals in researching law, investigating facts, preparing documents, and servicing clients.  Functions specific to the practice may include all aspects of deal management for M&A, Private Equity, Venture Capital, and other transactions from inception to post-closing, including document organization, preparation and filing of documents for closings, assistance at closings, preparation of closing sets and post-closing management. Must be tech savvy. Must have familiarity with both buyer-and seller-side transactions and equity deals. This position potentially involves direct interface with attorneys, clients and opposing counsel.


Responsibilities include but are not limited to:



  • Develop and conduct research related to transactions and filings

  • Manage Virtual Data Rooms

  • Organize records and documents

  • Prepare withdrawal and qualification documents in accordance with all state, local and federal laws and regulations for conducting business

  • Prepare stock certificates, legend and backing sheets

  • Draft shareholder and board consents

  • Draft and file amendment certificates for corporation or limited liability companies

  • Prepare and draft merger or purchase agreements

  • Prepare and draft disclosure schedules

  • Manage/oversee the preparation of closing sets, binders, CDs (electronic format), and other post-closing deliverables; distribute to appropriate parties

  • Assist attorneys and senior paralegals with various tasks and assignments

  • Coordinate projects with various service companies

  • Entity Formation

  • Draft organizational, incorporation and formation documents such as Articles of Organization, Operating Agreements, Consents, and qualification documents

  • Conduct name availability search and reserve entity name, if required

  • Draft Subscription Agreements, Stock Certificates, stock Powers and related documents

  • Prepare SS-4 forms and apply for Employer ID Numbers


ESSENTIAL JOB FUNCTIONS:



  • Supervise work of and provide training/mentoring to Paralegal Assistant.

  • Client management experience.

  • Exercise significant independent judgment and discretion in management of client team activities.

  • Exercise independent judgment in the efficient and cost-effective use of practice support, databases and other technology, including Litera, Carta, Simply Agree, and Microsoft Teams.

  • Exhibit initiative to stay informed of developments in paralegal industry by, among other things, attending firm sponsored CLEs and other in-house training efforts.

  • Meet billable hour requirement of 1500 hours per year.


 MINIMUM REQUIREMENTS:



  • Minimum of 5 years relevant experience.

  • Paralegal Certificate from ABA approved program for legal assistants or graduation from an institutionally accredited program that is not ABA approved, but which requires not less than the equivalent of 60 semester hours of classroom study and three years or more of in-house training comparable to the type of training a paralegal would receive at the Firm.


OR



  • Associate’s degree from ABA approved program of study for legal assistants and two years or more of comparable training.


OR



  • Bachelor’s degree or advanced degree in any field and one year or more of comparable training.


OR



  • Significant, substantive legal related experience may be considered in lieu of formal education at the discretion of the SBU Leader.

  • Ability to interact effectively and professionally and provide exceptional service, internally and externally, at all times.

  • Highly organized, able to prioritize workflow and manage projects.

  • Ability to perform effectively with minimal supervision and within established time limits and on-going deadlines.


COMPENSATION AND BENEFITS


Employees are entitled to compensation commensurate with skill and experience. The exact compensation will vary based on skills, experience, location, and other factors permitted by law. The expected compensation ranges for this position in various states and jurisdictions are as follows:



  • State of California: $70,000 - $155,000 

  • State of Colorado: $52,000 - $117,000

  • Jersey City, NJ: $60,000 - $128,000

  • State of Maryland: $65,000 - $106,000

  • State of Massachusetts: $60,000 - $132,000

  • State of New York: $68,000 - $140,000

  • State of Washington: $64,000 - $132,000

  • Washington, D.C.: $79,000 - $176,000


The above salaries do not include a discretionary bonus; however, bonus opportunities are non-guaranteed, and are dependent upon individual and firm performance.
