About the Role

The Paralegal II – Corporate and Finance is an integral part of Latham’s Legal Professional and Paralegal team and will be responsible for supporting the attorneys and senior paralegals in the Corporate and Finance departments, while ordering lien searches and other diligence documents, including obtaining documents and certificates from local or federal courts and state agencies. This role will be located in our Houston office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

 

 

  • Ordering lien searches and other diligence documents, including obtaining documents and certificates from local or federal courts and state agencies
  • Reviewing, analyzing, and summarizing lien search results, and creating a summary chart in the firm database
  • Ordering/requesting from vendors articles of organization and incorporation, corporate and tax certificates of good standing in appropriate jurisdictions, and helping to resolve issues, if any
  • Assisting the deal team with drafting and reviewing documents required for various transactions,  including but not limited to researching relevant statutes and preclearing with the applicable secretary of state office
  • Creating and maintaining the electronic share folder for closing
  • Preparing and maintaining a checklist for transactions
  • Editing documents such as primissory notes, guaranties, security agreements, consents, and finance statements
  • Reviewing appropriate documentation and drafts UCCs, including UCC-1s, amendments and terminations, and fixture filings
  • Reviewing payoff documents and/or financing documents for authority to file liens and terminations, and coordinates, with service company for filing at closing
  • Drafting forms, letters, or other legal documents including full suite of formation documents and manages the entire process of entity formation and notify supervising attorney of CTA obligations
  • Assisting with closings, including drafting certain documents and signature pages, and updates to the closing checklist as needed and instructed by attorneys
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains 

We’d love to hear from you if you:

 

 

  • Possess the ability to develop proficient technical skills, including word processing, internet searching, and using spreadsheets and databases
  • Demonstrate knowledge of Microsoft Office applications, specifically Word, Excel and Outlook
  • Exhibit well-developed and professional interpersonal skills, in addition to the ability to interact effectively with people at all organizational levels of the firm

 

 

And have:

  • A Bachelor's degree or an equivalent, and signed declaration if located in a California office, or a paralegal certificate from an ABA-approved program
  • A minimum of four (4) years of related law firm experience as a paralegal

Pay Range

USD $90,000.00 - USD $100,000.00 /Yr.
