About the Role






The UCC Finance Paralegal II is an integral part of Latham’s Finance team and will be responsible for performing legal tasks, working on legal projects, and providing various support functions to supervisors in the finance department, and other departments on occasion, while ordering Uniform Commercial Code (UCC) lien searches, including obtaining documents and certificates from local or federal courts and state agencies. This role will be located in our Chicago office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.









Responsibilities & Qualifications






Other key responsibilities include:

 

  • Ordering UCC lien searches, including obtaining documents and certificates from local or federal courts and state agencies
  • Reviewing, analyzing, and summarizing UCC lien search results, and creating a summary chart in the firm database
  • Assisting attorneys and other paralegals with due diligence including reviewing and retrieving of data room documents
  • Setting up and preparing the electronic share folder for closing
  • Ordering / requesting from vendors articles of organization and incorporation and corporate and tax certificates of good standing in appropriate jurisdictions, helping to resolve issues
  • Maintaining the integrity of the transactional documents generated throughout the duration of a transaction
  • Drafting forms, letters, or other legal documents
  • Anticipating typical work for a transaction, and working with supervisors to ensure all aspects are addressed
  • Demonstrating effective verbal and written communication with clients, outside vendors, and other parties
  • Editing basic finance documents such as promissory notes, guaranties, security agreements, consents, and finance statements
  • Reviewing appropriate documentation and drafts UCCs (including UCC-1s, amendments and terminations) and fixture filings
  • Reviewing payoff documents and/or financing documents for authority to file liens and terminations, and coordinating with service company for filing at closing
  • Reviewing closing documents as directed by attorneys (including payoff documents)
  • Assisting with closings (including drafting certain documents and signature pages) and updates to the closing checklist as needed and instructed by attorneys
  • Assisting with emailing transaction parties executed documents prior to close
  • Drafting closing index
  • Assembling and indexing closing documents so that final sets can be prepared and distributed
  • Preparing routine correspondence with clients and other parties
  • Preparing and organizing distribution of closing documents and closing sets
  • Coordinating the timely closure of a transaction to comply with Firm policies and procedures
  • Creating and maintaining calendars for transactions, and distributing to supervisors and other team members
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains

  • Demonstrate knowledge of legal concepts and methodologies
  • Display knowledge of database applications
  • Exhibit well-developed, professional interpersonal skills, and the ability to interact effectively with people at all organizational levels of the firm

 

And have:

 

  • A Bachelor's degree or an equivalent (and signed declaration if located in a California office) or paralegal certificate from an ABA-approved program
  • A minimum of four (4) years of related law firm experience as a Finance paralegal
